1. Acceptance of these Terms
These Terms & Conditions (“Terms”) form a binding agreement between you (the individual or legal entity using the Services) and NeeNam Solutions Pvt Ltd (“NeeNam”, “we”, “us”, or “our”), the owner and operator of MSGMEE.
By creating an account, accessing a portal, calling an API, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Description of the Services
MSGMEE provides multi-tenant, multi-channel messaging capabilities, which may include WhatsApp, email, SMS, and other channels we enable from time to time. Features may include:
- Tenant and application administration
- Channel onboarding and configuration (including WhatsApp via channel partners)
- Template / content creation, synchronisation, and status tracking
- Outbound messaging and delivery status handling across supported channels
- Integrator APIs (OAuth client-credentials, scoped tokens, webhooks)
- Credit / rate-card based usage accounting
Features may vary by plan, tenant configuration, and partner availability. We may modify, suspend, or discontinue features with reasonable notice where practicable, except for urgent security or compliance changes.
3. Accounts, tenancy, and security
- You must provide accurate registration and contact information and keep it current.
- You are responsible for safeguarding passwords, API client secrets, access tokens, and webhook endpoints. Do not embed client secrets in public clients or mobile apps.
- Activity under your credentials or tokens is deemed authorised by you, except where you have promptly notified us of a confirmed compromise.
- You must promptly revoke or rotate credentials when personnel leave or when a secret may have been exposed.
- Tenants and applications must respect isolation boundaries; attempts to access another tenant’s data are prohibited.
4. Channel partners (Meta, email, SMS, and others)
The Services depend on third-party platforms and gateways. Your use of messaging through MSGMEE is conditional on ongoing compliance with applicable partner terms and law, including where relevant:
- Meta / WhatsApp Business Terms of Service
- WhatsApp Business Messaging Policy (and related commerce / advertising policies where applicable)
- Meta Platform Terms and any applicable Tech Provider / BSP programme rules
- Our partners’ customer / partner terms, acceptable use, and onboarding requirements
- Terms and acceptable-use rules of email, SMS, and other channel providers we use
- Applicable telecommunications, TRAI/DND (or equivalent), anti-spam, consumer protection, and data protection laws
Meta and other channel partners may approve, reject, throttle, filter, or disable assets, templates, sender IDs, domains, or message traffic at their sole discretion. MSGMEE is not responsible for those partners’ decisions, outages, policy changes, or fees they charge independently of MSGMEE.
You authorise MSGMEE to submit onboarding data, templates, messages, and related metadata to Meta and our channel partners as needed to provide the Services.
5. Acceptable use
You must not, and must not allow others to:
- Use the Services for unlawful, harmful, deceptive, or fraudulent purposes
- Send spam, unsolicited messages, or messages lacking required opt-in / consent
- Violate WhatsApp Business Messaging Policy or other channel acceptable-use rules (including prohibited categories such as certain adult content, weapons, unsafe supplements, scams, or abusive content)
- Impersonate any person or misrepresent affiliation with a brand or authority
- Probe, scan, or attack the Services; bypass rate limits, authentication, or tenancy controls
- Reverse engineer the Services except to the limited extent permitted by law
- Resell or white-label the Services without our prior written consent, except via an approved integrator arrangement
- Upload malware or content that infringes intellectual property or privacy rights
6. Messaging responsibilities
As between you and MSGMEE, for every channel (WhatsApp, email, SMS, and others):
- You are solely responsible for message content, subjects, template parameters, attachments, recipient selection, timing, and the lawful basis / opt-in for each recipient.
- You must honour opt-outs, unsubscribes, user blocks, DND registrations, and applicable quiet hours or frequency limits.
- You must ensure destination addresses and phone numbers are correct and that messaging is appropriate for the recipient’s jurisdiction and channel.
- MSGMEE transmits messages as instructed; we do not guarantee delivery, read receipts, inbox placement, carrier acceptance, or Meta approval of any template or campaign.
- We may retain message metadata and limited content copies as needed for delivery, billing, troubleshooting, abuse prevention, and legal compliance.
7. Templates, content, and Meta review
- WhatsApp templates may be reviewed by Meta. Approval is not guaranteed and may be revoked later.
- Sample / example values provided for review must be realistic and non-infringing.
- You may only send WhatsApp template messages that are in an approved status at send time.
- Quality ratings, messaging limits, and template pauses imposed by Meta/WhatsApp apply to your WhatsApp Business assets.
- Email and SMS content must comply with applicable anti-spam and telecom rules; sender IDs, domains, and routes may be subject to provider or regulator approval.
8. APIs, integrators, and developer use
- API access requires an approved Application, valid credentials, and scopes granted by MSGMEE operators.
- Integrators must store only integration UUIDs and tokens as documented; they must not attempt to discover or use internal provider identifiers.
- Tokens must be cached and refreshed responsibly; abusive token or send patterns may be rate-limited or revoked.
- Webhook receivers must use HTTPS, authenticate requests where supported, and handle retries idempotently.
- Documentation is provided “as is” and may evolve; breaking changes will be communicated when reasonably possible.
9. Credits, rate cards, and fees
- Usage may be metered in credits or currency according to per-application or per-tenant rate cards configured in MSGMEE.
- Message categories (for example utility, marketing, authentication, service) may consume different credit amounts.
- Channel / carrier / Meta conversation, SMS, or email provider charges may apply in addition to MSGMEE platform fees, either billed through partners or passed through as agreed.
- Prepaid credit balances are non-transferable. Unused credits are non-refundable except where required by law or expressly agreed in writing.
- We may suspend sending when balances are insufficient or when invoices are overdue.
- Prices may change upon notice; continued use after the effective date constitutes acceptance unless you stop using the Services.
10. Data protection and customer content
Our processing of personal data is described in the Privacy Policy. For end-user messaging data, you typically act as controller / business and MSGMEE acts as processor / service provider.
- You represent that you have provided all notices and obtained all consents required to upload personal data and send messages on WhatsApp, email, SMS, or any other channel.
- You must not instruct MSGMEE to process data in violation of law or Meta or channel-partner policies.
- You remain responsible for your privacy policy presented to end users and for responding to end-user requests, with MSGMEE providing reasonable assistance.
11. Intellectual property
MSGMEE, the Services, documentation, and related software, branding, and UI are owned by us or our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes (or for approved integrator use cases).
You retain ownership of your content (templates, message parameters, logos you upload). You grant MSGMEE a worldwide licence to host, process, transmit, and display that content solely to provide and secure the Services and to comply with law and partner requirements.
12. Confidentiality
Each party may receive non-public information from the other (“Confidential Information”). The receiving party will use it only to perform under these Terms and protect it with reasonable care. Exceptions include information that is public, independently developed, or required to be disclosed by law (with notice where legally permitted). API secrets and access tokens are Confidential Information.
13. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, NOR THAT MESSAGES WILL BE DELIVERED, READ, OR FREE FROM THIRD-PARTY FILTERING OR POLICY ENFORCEMENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MSGMEE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO MSGMEE FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR INR 10,000 IF GREATER AND IF NO FEES WERE PAID). THESE LIMITATIONS APPLY REGARDLESS OF THEORY OF LIABILITY.
Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, certain fraud or personal injury liabilities).
15. Indemnification
You will defend, indemnify, and hold harmless MSGMEE and its personnel from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your content and messages; (b) your use of the Services; (c) your violation of these Terms or of Meta/WhatsApp or other channel-partner policies; (d) your failure to obtain required consents or legal bases; or (e) claims by your end users or integrators.
16. Suspension and termination
We may suspend or terminate access immediately if:
- You breach these Terms or partner policies
- Your use creates security, legal, or reputational risk
- Meta or another channel partner requires suspension or disables related assets
- Fees or credits are unpaid / insufficient
- Required by law
You may stop using the Services at any time. Upon termination, your right to access the Services ends. Provisions that by nature should survive (including IP, confidentiality, disclaimers, liability limits, indemnity, and governing law) will survive.
17. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in Chennai, Tamil Nadu, India will have exclusive jurisdiction, subject to any mandatory consumer protections that apply.
18. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement regarding the Services, unless a signed enterprise agreement expressly supersedes them.
- Changes. We may update these Terms by posting a revised version. Material changes will be notified where appropriate. Continued use after the effective date constitutes acceptance.
- Severability. If a provision is unenforceable, the remainder stays in effect.
- No waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign in connection with a corporate transaction.
- Force majeure. We are not liable for delays caused by events beyond reasonable control, including partner platform outages.
- Third-party beneficiaries. Meta and other channel partners are not parties to these Terms except that you must comply with their policies as a condition of channel access.
